Nanoflux Technologies

1. Introduction

These Terms & Conditions (“Terms”) govern your use of the Nanoflux Technologies website and any services, consultations, or interactions provided by Nanoflux Technologies (“Nanoflux”, “we”, “us”, or “our”).

By accessing our website, submitting an inquiry, or engaging with our services, you agree to be bound by these Terms.

If you do not agree, you should not use our website or services.

2. Nature of Services

Nanoflux Technologies operates as an engineering-led electronics manufacturing facilitator and execution partner, providing services including but not limited to:

  • Engineering consultation
  • Design-for-manufacturing (DFM) guidance
  • Prototype development
  • Pilot manufacturing coordination
  • Production scaling support
  • System integration and testing

Nanoflux may execute work internally and/or through a network of trusted third-party EMS partners.

3. No Binding Obligation from Initial Interaction

Any inquiry, discussion, consultation, or preliminary communication does not constitute a binding agreement.

Any scope, pricing, or timeline shared before formal agreement is indicative and non-binding.

A binding relationship is established only upon:

  • Execution of a written agreement; or
  • Formal acceptance of a proposal or work order

4. Project Scope and Execution

Each project shall be governed by:

  • A Project Scope Document (PSD), or
  • A Statement of Work (SOW), or
  • A mutually agreed written communication

Project-specific documents shall define:

  • Deliverables
  • Timelines
  • Pricing
  • Quality expectations

In case of conflict, project-specific agreements shall prevail over these Terms.

5. Third-Party Execution Disclaimer

Nanoflux may engage third-party EMS partners for execution.

Accordingly, certain aspects of manufacturing, assembly, or sourcing may be performed by third parties.

Nanoflux will exercise reasonable care in selecting such partners; however, Nanoflux shall not be liable for delays caused by third-party partners, component shortages, supply chain disruptions, or external logistics and customs issues.

Nanoflux remains a coordinating and engineering-led execution entity, not a manufacturer of all components.

6. Client Responsibilities

Clients engaging with Nanoflux agree to:

  • Provide accurate and complete information
  • Share correct design files and specifications
  • Clarify requirements, tolerances, and expectations

Nanoflux shall not be responsible for issues arising from incorrect or incomplete client-provided data, design flaws not identified during review, or late-stage requirement changes.

7. Engineering Guidance Disclaimer

Any engineering suggestions, feedback, or recommendations provided by Nanoflux are based on available information and are intended to improve manufacturability and reliability.

Final design responsibility remains with the client.

Nanoflux does not assume liability for design decisions made by the client.

8. Intellectual Property

All designs, documents, and materials shared by the client remain the property of the client.

Nanoflux shall not use client intellectual property for any purpose outside project execution.

Clients agree not to claim ownership over Nanoflux’s internal processes, methodologies, or tools.

9. Confidentiality

Nanoflux treats all client information as confidential.

Information may be shared with trusted EMS partners only as necessary for execution.

Such partners are bound by confidentiality obligations and NDAs.

10. Pricing and Payments

Pricing shall be defined per project or proposal.

All quotes are valid only for the period specified.

Payments, milestones, and terms shall be agreed upon separately.

Nanoflux reserves the right to revise pricing due to changes in scope and adjust timelines due to dependency changes.

11. Timelines and Delivery

All timelines provided are estimated unless explicitly committed in writing.

Nanoflux shall not be liable for delays caused by client-side delays, design changes, component availability issues, or third-party dependencies.

12. Limitation of Liability

To the maximum extent permitted by law, Nanoflux shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed the value of the specific project or engagement.

This includes but is not limited to loss of business, loss of revenue, and production delays.

13. Indemnification

The client agrees to indemnify and hold harmless Nanoflux from any claims arising due to misuse of delivered products, regulatory non-compliance, or infringement resulting from client-provided designs.

14. Force Majeure

Nanoflux shall not be liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, government actions, supply chain disruptions, pandemics, and infrastructure failures.

15. Termination

Nanoflux reserves the right to decline or discontinue services and terminate engagement in case of breach or non-cooperation.

Clients may also terminate engagement subject to agreed project terms.

16. Website Use

Users agree not to misuse the website, attempt unauthorized access, or submit false or misleading information.

17. Governing Law

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the jurisdiction of Bengaluru, Karnataka.

18. Updates to Terms

Nanoflux reserves the right to update these Terms at any time.

Continued use of the website constitutes acceptance of updated Terms.
